1 Our Contract
1.1 These Terms and Conditions govern the supply of goods sold by S & T Joinery Ltd of
Stubcroft Farm Studios, Stubcroft Lane, East Wittering, Chichester, West Sussex
PO20 8PJ (Company No. 5688504), also trading as ‘The Electric Loft Ladder
Company’, (‘we’ and ‘us’), to the customer (‘you’). These constitute the entire and
only agreement between us in relation thereto. A legally binding contract is
constituted between us, once an order is placed, whether this is a verbal order, or in
writing.

2 Price and Payment
2.1 The price payable for the goods you order is as set out on our website at the time you
place your order, plus any additional charges for carriage and insurance as specified
on the website.
For Made to measure products, a non-refundable booking fee of £200 is required.
Payment of 50% of the remainder is required upon commencement of the
manufacture of your order. The remaining 50% to be paid on contact prior to
despatch of goods.
We reserve the right to change the price of made to measure goods, due to market
conditions, but we will confirm the price with you before accepting your order.
2.2 Occasionally an error may occur with our website and goods may be incorrectly
priced, in which circumstances we will not be obliged to supply the goods at the
incorrect price.
2.3 Subject to clause 2.4, we must receive payment for the whole of the price of the
goods you order, and any applicable charges for carriage and insurance, before your
order can be accepted, unless you are a Made to measure customer, in which case the
order will be accepted upon receipt of a 50% deposit. This will always be the case,
unless agreed otherwise in writing.
2.4 If you are an account customer, payment shall be made in full 28 days following date
of final invoice. We may revoke credit if you fail to make payment when due. If
payment is not made when due, interest is payable at the rate of 3% over the current
Bank of England bank rate on the amount outstanding from the due date for payment
until receipt by us of the full amount (including any accrued interest) whether before
or after judgement, together with any reasonable legal or other recovery costs.
3 Product Specification
3.1 We have a policy of continuous product development and reserve the right to amend
thespecifications of any goods or products without prior notice in relation to future sales.
3.2 Products supplied may differ as a consequence from those advertised. Unless agreed with
you, the products supplied will be of equivalent value, functionality and appearance.
3.3 Products are made from quality natural wood and accordingly appearances may vary.
Some woods will mellow with age and exposure to sunlight.
3.4 We endeavour to display as accurately as possible the colours of our products that appear
on the website. However we cannot guarantee the complete accuracy of the pictures or
photographs that are shown.
3.5 All dimensions specified by us are approximate.

4 Delivery and Title
We are only able to deliver online orders to you if you have a permanent address in
the UK mainland.
We will deliver your goods in accordance with your order. A valid signature will be
required on delivery. Should the customer not be available to receive the goods, any
extra charges incurred will be charged to the customer. Upon delivery of the goods to
you, the goods shall be at your risk. In spite of delivery having been made, title in the
goods shall not pass to you until you have paid the price for the goods in full and no
other sums whatsoever shall be due to us from you.
Made to Measure customers – Delivery is usually between 4 – 8 weeks
from receipt of all applicable details, and deposit. An approximate date of despatch
will be supplied on receipt of deposit.
5 Availability
Please note that some of our products, whilst manufactured by S & T Joinery Ltd,
will be despatched using our nominated distributor. In this case, the product may
carry an alternative product name.
While we endeavour to hold sufficient stock to meet all orders, if we have insufficient
stock to supply or deliver the goods ordered and paid for by you, we will notify you
of the expected delivery date (usually within 30 days), or refund you the price paid
for such goods as soon as possible, and in any case within 30 days, or in the case of
an account customer, we may in our absolute discretion, as soon as possible raise a
credit to offset the amount invoiced to you.
6 Cancellation and Returns
6.1 You may cancel your order by giving us notice of cancellation within 7 days of the
date of delivery. Such notice may be given by mailing, faxing or emailing to the
number or address set out on the order form. If you are cancelling because of any
problem with the goods, please notify us of the problem at the time of cancellation.
6.2 For Made to Measure customers – You have the right to cancel your order within 7
working days of placing your order. However, if you have agreed for manufacture of
your product to commence before the end of your cooling off period, you will not be
entitled to cancel once manufacture has commenced.
6.3 On cancellation for whatever reason, you must return the goods to us at your cost,
unless the goods are being returned because they are faulty or incorrect goods, in
which case we will meet the cost of return but we ask that you allow us to nominate
the carrier.

7 Liability
7.1 If you have notified us of a problem with the goods within 10 days of delivery, we
will (subject to clause 4) either make good any shortage or non-delivery, replace or
repair any goods that are damaged or defective upon deliver, or refund to you the
amount paid by you for the goods in question. We will not be liable to you for any
loss of profits, administrative inconvenience, disappointment, indirect or
consequential loss or damage arising out of any problem in relation to the goods and
we shall have no liability to pay any money to you by way of compensation other
than any refund we make under these conditions. This does not affect your statutory
rights if you are a consumer, nor is it intended to exclude our liability to you for
fraudulent misrepresentation or for death or personal injury resulting from our
negligence.
7.2 Measurements –
We will not accept liability for any extra costs incurred by you as a result of incorrect
or incomplete measurements or information supplied by you.
Changes in specification during the manufacturing process will incur extra charges to
the customer.
8 Termination
We may suspend further supply or delivery, stop any goods in transit or terminate our
contract by notice of writing to you if you are in breach of an obligation hereunder or
you become unable to pay your debts when they fall due or proceedings are
commenced by or against you alleging bankruptcy or insolvency. Upon termination,
your indebtedness to us becomes immediately due and payable and we shall be under
no further obligation to supply goods to you.
9 Force Majeure
We shall have no liability to you for any failure or delay in supply or delivery or for
any damage or defect to goods supplied or delivered hereunder that is caused by any
event or circumstance beyond our reasonable control (including without limitation,
strikes, lockouts and other industrial disputes).
10 General
If any part of these conditions is invalid, illegal or unenforceable (including any
provision in which we exclude our liability to you) the validity, legality or
enforceability of any other part of these conditions will not be affected. This contract
shall be governed by and interpreted in accordance with English law.
